Nouran is an Associate in the Corporate and M&A Department at Shahid Law Firm. Since joining the firm in 2023, she has advised clients on a wide range of corporate, commercial, and regulatory matters, with a particular focus on mergers and acquisitions, corporate governance, and transactional work.
Her experience includes drafting and reviewing a broad spectrum of legal documentation, including articles of incorporation, by-laws, commercial agreements, memoranda of understanding, shareholders’ agreements, and share purchase agreements. She regularly advises on company incorporations in Egypt, corporate restructurings, board and shareholders’ meetings, corporate secretarial matters, and legal due diligence exercises. Nouran also conducts extensive legal research and prepares legal opinions on various corporate and regulatory issues.
Nouran has represented numerous clients in connection with acquisitions and investment transactions involving Egyptian targets and has assisted in the preparation and negotiation of transaction documents, particularly in the Capital Markets and Fintech sectors. Her due diligence experience spans multiple industries, reflecting her broad exposure to complex corporate transactions.
- Advising Xcalibur Smart Mapping in connection with large-scale airborne geophysical survey projects in Egypt, including the review and negotiation of project documentation, contractual arrangements, and regulatory compliance matters.
- Conducting legal due diligence and advising E-finance Investment Group in connection with its acquisition of stakes in Al Ahly Momken and Easy Cash.
- Advising Arqaam FC in connection with its acquisition by StatsBomb Services Ltd.
- Conducting legal due diligence and assisting in the drafting of acquisition transaction documents relating to TMG Group’s acquisition of a 51% stake in Legacy Hospitality, owner of the seven historic hotels in Egypt.
- Advising on importation and distribution regulations and preparing a legal memorandum for a tobacco company seeking to establish a subsidiary in Egypt.
- Advising multiple corporations on a broad range of corporate, commercial, and regulatory compliance matters in Egypt.
Nouran holds a Master’s Degree in Public Affairs Law from Sorbonne University – Paris 1. She also graduated with a dual degree comprising a Bachelor of Laws and Legal Studies from Cairo University and a Bachelor’s Degree from Sorbonne University – Paris 1.
Prior to joining Shahid Law Firm, Nouran gained valuable advocacy and legal research experience through moot court competitions. She was awarded Best Oralist in the BUE IT Law Moot Court Competition in 2023. She also developed a particular interest in Data Protection Law and co-authored a publication examining the advantages and disadvantages of the Egyptian Data Protection Law in comparison with the European Union’s General Data Protection Regulation (GDPR).
