Mohamed is a junior associate in the Corporate and M&A team, with experience advising local and multinational clients on mergers and acquisitions, cross-border investments, and corporate restructuring in Egypt and across multiple jurisdictions.
His practice focuses on transactional work, with a particular emphasis on cross-border M&A and corporate restructuring, and on the legal and tax structuring of such transactions. He regularly supports legal and tax due diligence exercises, drafts and reviews transaction documentation, and advises on cross-border investment and holding structures. He also advises on general corporate matters, including corporate governance, regulatory compliance, and shareholder arrangements.
- Representation of local and multinational clients in connection with mergers, acquisitions, and restructuring transactions across a range of sectors, including conducting legal and tax due diligence and assisting in the review of transaction documentation.
- Advising multinational groups on the structuring of cross-border investments into and out of Egypt, including comparative scenario analysis to identify the optimal acquisition and holding structure from a legal and tax perspective.
- Advising on corporate reorganizations and restructuring transactions for local and multinational groups, including intra-group transfers and holding structure rationalizations.
- Reviewing and analyzing share purchase agreements, shareholders’ agreements, and term sheets from a legal, tax, and commercial perspective, and flagging key risk and negotiation points.
- Advising listed and unlisted companies on ongoing corporate governance matters, including board and committee documentation, delegation of authority frameworks, and regulatory filings before the Central Bank of Egypt, the Financial Regulatory Authority, and the General Authority for Investment and Free Zones.
Prior to joining Shahid Law Firm, Mohamed worked as an International Tax and M&A Associate, advising local and multinational clients on cross-border M&A and restructuring transactions across multiple jurisdictions. He also previously worked in the corporate governance function and completed internships at several international law firms in Cairo. He holds an LL.B. from Ain Shams University (English Section).
