Overview

Moustafa is a Counsel in the Corporate and M&A team, with over a decade of experience advising on complex mergers, acquisitions, equity investments, and restructurings across Egypt and the wider MENA region. His practice focuses on transactional work, with particular strength in cross-border M&A, private equity, and joint ventures involving institutional investors, regional corporations, and family offices.

 

  • Representation of a leading investment group in connection with the launch of a voluntary tender offer to acquire a significant minority stake in a company listed on the EGX, for approximately USD 450 million.
  • Representation of Abu Dhabi holding entities on the acquisition of a substantial stake in a leading Egyptian hospitality company, for USD 880 million.
  • Representation of a leading real estate developer in connection with the subscription by a UAE-based private investment firm in a primary issuance of shares, for a total investment of USD 100 million.
  • Representation of a regional real estate developer in restructuring their business activities in Egypt.
  • Representation of a leading education platform in connection with the acquisition of a majority stake in a well-known K-12 education brand.
  • Representation of a leading global technology company on a USD 2.7 billion spin-off of a business unit ahead of an international listing on the SIX Swiss Exchange.
  • Representation of a renowned listed construction company and a group of minority shareholders in relation to the sale of 100% of the issued share capital of a chemicals manufacturing business.
  • Representation of a leading holding company in connection with its acquisition of a minority stake in a specialized healthcare consulting firm.
  • Representation of two leading real estate developers in connection with the negotiation and drafting of a hotel management agreement and a residences services agreement with an internationally renowned hotel brand.
  • Represented a state owned investment firm in the acquisition of a controlling stake in a leading pharmaceutical group from international investors, for a total consideration of USD 580 million.
  • Representation of a pioneer in the trading and manufacturing of integrated agri-commodities in Egypt and the region in connection with a mandatory tender offer on a listed food production company.
  • Representation of a leading investment firm in connection with the acquisition of a 50% stake in a food manufacturing company through a primary issuance of shares.
  • Representation of a leading private equity firm in connection with the acquisition of 76% of the share capital of a well-known hospital group.
  • Representation of a leading renewable energy group in connection with the acquisition of a local energy company.
  • Representation of a leading chemicals company in connection with a refinancing transaction valued at up to USD 510 million.
  • Representation of a group of renewable energy companies in connection with a financing of up to USD 60 million for the design, development, construction, testing, commissioning, operation, and maintenance of a 50MW solar photovoltaic power plant under the Feed-in Tariff Programme (Round 2).
  • Representation of a leading private equity firm in connection with a financing of up to USD 30 million for the acquisition of a target company as part of a pre-IPO restructuring.

Prior to joining Shahid Law Firm, Moustafa spent several years at an international law firm, where he acted on a wide range of transactions across sectors including education, energy, healthcare, real estate, and infrastructure. He regularly advises clients on deal structuring, regulatory strategy, shareholder arrangements, corporate governance, and exit planning. Moustafa holds an LL.B. from Cairo University and has been a member of the Egyptian Bar Association since 2014.
