Farah El Nahas is a Senior Associate in Shahid Law Firm in the Mergers & Acquisition practice group. Farah possesses 11 years of experience in general corporate matters, mergers and acquisitions, employment, banking and project finance.

Farah worked at Shahid Law Firm from 2015 to 2017 and re-joining Shahid Law Firm in 2020. Prior re-joining the Firm, Farah worked in one of the largest regional firms for 3 years in the Banking & Project Finance Department, whereas she gained an extensive experience in borrowers and lenders in connection with any financing transactions, perfecting securities before the competent authorities in accordance with the Egyptian Law, drafting and negotiating project finance and facility agreements.

Farah has experience in legal due diligence processes and drafting of their reports, related executive summaries, high level red flags reports and, all required transactional documentation.

She has an extensive experience in working on Commercial Agency, Civil, Labour, Companies, shipping and Aviation laws. Accordingly, she can advise clients on general corporate queries and respond to questionnaires on companies’ day-to-day legal operational requirements. She also has experience in establishment of all types of commercial and non-commercial legal entities.

Farah has experience in advising on different branches of Egyptian Law. She also has an extensive experience in drafting and reviewing all types of commercial contracts, especially, commercial agency, distribution, labour, real property lease, supply and telecommunication contracts; as she has been seconded to Nokia Solutions and Networks S.A.E.; and acted as its Contracts Manager & Legal Consultant, for a period of 9 months.

Further, Farah has extensive experience in administrative laws and contracts entered into and between public sector entities and private sector entities; as she provided several legal opinions on potential disputes, which have taken place following the Central Bank of Egypt’s Decree regarding the floating of the EGP.

Farah holds a Masters Degree in International and European Business Law, Paris I Pantheon Sorbonne University; License Law Degree Faculty of Law, Cairo University; License Law Degree, Paris I Pantheon Sorbonne University

Deals/Highlights

  • Representing an Emirati businessman and global entrepreneur in establishment of a multi-tier structural Egyptian Joint Venture with one of the largest developers in Egypt, for the purpose of erection of a project of a value of EGP 109 billion.
  • Representing an Emirati businessman and global entrepreneur in the partial acquisition of one of the subsidiaries of one of the largest developers in Egypt, in a transaction amounting to EGP 2.7 billion.
  • Representing NI Capital Company, a private equity, in the full acquisition of Al Arabeya Online, an Egyptian brokerage company until closing.
  • Represented Cairo Investment and Real Estate Development in relation to long term facility agreement of USD 25.000.000 before EBRD.
  • Advised the Russian Eximbank and the Hungarian Eximbank in relation to a long-term facility agreement to be extended to the Egyptian National Railways Authority, amounting to EUR 1.016.000.000.
  • Assisted CIAF in the direct dual tranche issuance of Islamic sukuk on a Morabaha basis amounting to USD 50.000.000.
  • Advised a syndication of international banks led by First Abu Dhabi Bank (FAB) and Mashreq Bank on a USD500Million finance for Telecom Egypt for, inter alia, the acquisition of 4G license.
  • Advised the Egyptian Ministry of Finance on a USD4.5Billion and EURO1.5 billion international bond issuance in 2018 in addition to updating the sovereign bond issuance program of the Arab Republic of Egypt up to USD20Billion.
  • Assisted Goldman Sachs international and Bryan Cave Leighton Paisner LLP in respect of 250 MW BOO Wind Power Project at Gulf of Suez in connection with certain hedging arrangements.
  • Advised Mastercard regarding different products to be introduced in the Egyptian market.
  • Assisted Telecom Egypt with the review and negotiation of frame agreements to be entered into with software, hardware and solutions suppliers, in addition to all types of da-to-day agreements with third parties.
  • Acted for Standard Chartered Bank in the schedules’ drafting of an ISDA and GMRA Agreements to be entered into with the Central Bank of Egypt; and the issuance of the capacity opinions related thereto.
  • Acted for an international aviation company in the context of its share acquisition of a local charter company.
  • Advised a leading global provider of road technology solutions in its negotiations of a multi-million-dollar contract with the Egyptian Ministry of Transportation.
  • Advised an American global food-processing and commodities-trading corporation in its contemplated acquisition of an Egyptian food-processing, warehousing and commodities-trading company.
  • Assisted Nokia Solutions & Networks S.A.E. in obtaining and renewing required construction permits.
