Dr. Michael Boutros

Michael is a partner in Shahid Law Firm leading the corporate practice group.

Michael possesses 14 years of experience in general corporate matters, mergers and acquisitions, employment and liquidations.

Michael joined Shahid Law firm in 2017, after having worked in the Cairo office of one of the world’s largest international law firms. He concentrates on general corporate, mergers and acquisitions, capital markets, anti-trust, intellectual property, commercial and tax. His transactional work focuses on initial public offerings, private placements, and major projects. He regularly acts as the lead lawyer in deals he is involved in and has experience advising leading multinational companies execute large cross-border transactions.

Additionally, Dr. Michael Boutros has taught corporate law at the French University in Egypt during 2016 and, is a frequent guest trainer at the Egyptian Private Equity Association “EPEA” on mergers, acquisitions and corporate restructuring legal aspects.

Michael holds a PhD from Savoie University in “E-commerce and consumer protection” granted by the Grenoble Ecole Doctoral (France); a Master of International and European Business Law Degrees (L.L.M) from the University of Paris I – Panthéon Sorbonne; a Maîtrise in Business Law from the University of Paris I – Panthéon Sorbonne and the Cairo University; and an LL.B. from Cairo University.

• Acting as local co-counsel in connection with a share swap of one of the largest ammonia and urea manufacturers in Egypt.
• Advising a major Chinese company on different matters related to its joint venture with an Egyptian partner and drafting all legal transaction documents.
• Advising a global food-processing and commodities-trading corporation on the acquisition of shares in a publicly listed company.
• Acting for an international medical group in a US$ multimillion share transfer deal and corporate restructuring.
• Advising a US publicly listed company in a successful merger of its two subsidiaries Egypt operating in the tile and ceramic industry.
• Representing a vast number of multinational and local companies in drafting and negotiating different commercial agreements (shareholder’s agreements, joint ventures, commercial agency, distribution, etc.).
• Establishing and advising joint stock companies and limited liability companies for major international companies operating in the field of IT, business intelligence solutions, storage, engineering, and media.
• Assisting in the IPO of a number of companies in Egypt.
• Representing one of the biggest real estate companies in Egypt in a private placement process.
• Representing one of the largest real estate companies in Egypt in the acquisition of a majority share of one of the biggest companies in the country and advising on minority protection rights.
• Conducting due diligence over various private and publicly held companies
